Avenant ou annexe: read a French contract amendment

Read a French contract amendment and supporting annex, locating the changed deadline, unchanged price and document priority from explicit exercise clauses.

In short

An avenant records an agreed modification; an annexe is an attached document whose role depends on the contract. In this teaching dossier, the amendment changes a deadline and expressly leaves the price unchanged. Its annex supplies a delivery list and is expressly prevented from changing that date or price.

Avenant n° 1 · Dossier fictif

Article 3 · Annexe jointe

The list of deliverables.. Article 3 and the annex identify its descriptive role.

Articles 1 and 2 of this amendment.. Article 3 supplies this priority for those two points.

Question 5No account needed
Does this exercise prove that annexes can never have contractual force?

Choose one answer.

Answer and explanation

No; the supplied clauses define this annex’s role only.. The page makes a document-specific distinction, not a universal legal rule.

Question 6No account needed
What does “demeure inchangé” mean here?

Choose one answer.

Answer and explanation

Remains unchanged.. It concerns the maintained amount, not payment status.

Question 7No account needed
What does “reportée du 20 mai au 3 juin” express?

Choose one answer.

Answer and explanation

A postponement from the earlier to the later date.. The du…au… construction gives the replaced and replacement dates.

Question 8No account needed
Are all other contract provisions rewritten by this amendment?

Choose one answer.

Answer and explanation

No; article 4 says they are not modified here.. Read the stated scope rather than infer a complete replacement.

Read the verbs that define the change

Modifier identifies a change; reporter and proroger can concern a later deadline; demeurer inchangé preserves a provision. Prévaloir marks priority where the text supplies it. These words are useful, but each needs its object: a postponed delivery date does not itself prove a changed price or completed delivery.

QuestionEvidence here
What changes?Article 1: delivery deadline.
What stays fixed?Article 2: total price; article 4: other provisions.
What does the annex add?A deliverable list.
How is a date/price conflict resolved?Article 3 expressly gives the amendment’s articles 1 and 2 priority.

That statement captures this dossier. For a real contract, read its incorporation, priority and modification clauses before assigning the same role to an attached document.
